Agreement

These Terms of Use ("Terms") govern your access to and use of UniCan's website, applications, APIs, automations, and related services (collectively, the "Services"). By creating an account, completing onboarding, or otherwise accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

This document is a product-ready starting point, not legal advice. Have qualified counsel review and adapt it before relying on it in production.

Eligibility

You must be at least 18 years old and otherwise legally able to enter a binding agreement in your jurisdiction. By using the Services, you represent and warrant that you meet those requirements.

Accounts

You are responsible for safeguarding your credentials and for all activity that occurs under your account. You must provide accurate account information and keep it up to date. We may suspend or terminate accounts that are fraudulent, shared inappropriately, or used in violation of these Terms.

Acceptable Use

You agree not to misuse the Services. This includes attempting to access non-public systems, interfere with other users, distribute malware, scrape in violation of our rules, evade safeguards, or use the Services to violate law or third-party rights.

You also agree not to use the Services to create, upload, publish, or distribute content that:

  • infringes intellectual property, privacy, publicity, or other third-party rights;
  • impersonates a real person or falsely suggests endorsement, affiliation, or origin;
  • depicts illegal sexual content, child sexual abuse material, non-consensual intimate imagery, or exploitative content;
  • is used for fraud, scams, harassment, defamation, or deceptive political or commercial activity;
  • violates the rules of any third-party platform where you publish or syndicate content.

We may remove content, suspend features, cancel automations, or terminate access if we reasonably believe you violated these Terms or created legal, safety, or operational risk.

User Content and Rights

You retain whatever rights you already have in the prompts, media, brand assets, account data, and other content you submit to the Services ("User Content"). You grant us a non-exclusive, worldwide license to host, store, reproduce, modify, transmit, display, and create derivative works from User Content solely as needed to operate, improve, secure, and provide the Services you request.

You represent and warrant that you have all rights, permissions, licenses, and consents necessary to submit User Content and to instruct us to process it. If your User Content includes another person's likeness, voice, brand assets, or other protected material, you are responsible for obtaining the permissions required for your use case.

AI Outputs

The Services may generate images, video, text, audio, automations, and other outputs ("Outputs"). Outputs may be inaccurate, offensive, unavailable, infringing, or unsuitable for your intended use. You are solely responsible for reviewing Outputs before relying on, publishing, commercializing, or distributing them.

You are also responsible for ensuring your use of Outputs complies with applicable law, advertising rules, platform rules, and third-party rights, including publicity, privacy, trademark, copyright, and consumer-protection requirements.

Third-Party Services

The Services may integrate with third-party providers, including model providers, hosting vendors, payment processors, social platforms, and analytics services. Those providers may apply their own terms, pricing, usage limits, privacy practices, or technical restrictions. We are not responsible for third-party services or for changes they make.

Paid Plans, Credits, and Billing

If you purchase a paid plan, credits, or subscription, you agree to pay all applicable fees, taxes, and charges. Unless required by law or stated otherwise in a separate offer, fees are non-refundable. We may change pricing, plan structure, credits, or feature availability prospectively.

If a payment processor, subscription provider, or card issuer declines, reverses, or disputes a payment, we may suspend access to paid features until the issue is resolved.

Suspension and Termination

We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, if we reasonably believe you violated these Terms, created risk for us or others, failed to pay amounts due, or if we are required to do so by law or a third-party provider.

You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including sections relating to payment obligations, disclaimers, liability limits, indemnity, dispute terms, and records of accepted Terms.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, SUPPLIERS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES.

OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100) IF YOU HAVE NOT PAID US ANY FEES.

Some jurisdictions do not allow certain limitations or exclusions, so parts of this section may not apply to you to the extent prohibited by law.

Indemnity

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless us and our affiliates, officers, directors, employees, contractors, suppliers, and service providers from and against claims, losses, liabilities, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • your User Content;
  • your Outputs or your use of Outputs;
  • your use of the Services;
  • your violation of these Terms; or
  • your violation of law or third-party rights.

Changes to the Terms

We may update these Terms from time to time. When we do, we may update the "last updated" date and version above and require acceptance of the revised Terms before continued use of some or all parts of the Services. Continued use after revised Terms become effective constitutes acceptance where permitted by law and where we do not require an additional affirmative acceptance step.

Governing Law

These Terms are governed by the laws of the jurisdiction designated with your counsel, excluding conflict-of-law rules. Courts in that jurisdiction will have exclusive jurisdiction unless mandatory law requires a different forum.
